Spensa – Terms of Service (Beta)

Spensa is a beta software service provided by Kevin Klammer, Vienna, Austria ("Provider", "we", "us"). These Terms of Service ("Terms") govern your access to and use of the Spensa website, application, and related services (collectively, the "Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Beta Service
Spensa is provided as a beta version. This means that the Service is still under development and may contain errors, interruptions, or inaccuracies. Features may change, be added, or be removed at any time. The Service may be unavailable from time to time, and data loss or inconsistencies may occur. The Service is currently provided free of charge and without any service-level commitments.
2. Scope of the Service
Spensa is a software tool designed to support restaurant operations, including in particular: • creating and managing order templates; • submitting and approving orders; • sending supplier orders by email; • uploading and processing supplier invoices using automated systems (including AI/OCR); • managing product and pricing information; and • enabling offline work with later synchronization. Spensa is only a technical system. It does not replace human judgment, internal controls, or professional advice.
3. No Agency Relationship
Spensa is not a supplier, broker, agent, representative, or intermediary of you or any third party. We do not: • negotiate with suppliers, • place orders on your behalf, • guarantee supplier acceptance, • guarantee delivery, timing, pricing, or quality of goods or services. All supplier relationships, transactions, and communications remain solely your responsibility.
4. User Accounts and Responsibility
You are responsible for all activity conducted through your account, including actions taken by your employees or other authorized users. You must: • ensure that all information entered into the Service is accurate; • configure approval workflows appropriately; • review all orders and invoices before relying on them; and • secure devices used to access the Service.
5. Orders and Supplier Communication
Orders generated through Spensa are sent by email using the information you provide. We do not guarantee that: • an email will be delivered, received, or read; • an order will be accepted or fulfilled; • the content of an order is correct. You are solely responsible for verifying that orders are correct and for confirming fulfillment with suppliers.
6. Invoice Upload and Automated Processing
The Service allows you to upload invoices (e.g. PDF, JPG, PNG) and uses automated systems to extract and categorize information. You acknowledge and agree that: • extracted data may be incomplete or inaccurate; • all extracted information must be reviewed and verified by you before use; • outputs are provided for assistance only. Spensa does not provide accounting, financial, pricing, or profitability advice. We are not responsible for pricing decisions, margin calculations, profitability analysis, or business outcomes based on extracted data.
7. Offline Mode
The Service may allow certain functions to be used offline, with data stored locally on your device and synchronized when a connection becomes available. You acknowledge that: • synchronization conflicts or duplicate entries may occur; • locally stored data may be lost if a device is damaged or compromised; • you are responsible for device security and final data review.
8. Data and Content
All data you upload or create using the Service remains yours. By using the Service, you grant us a limited right to process, store, and display such data solely for the purpose of providing and improving the Service. You are responsible for ensuring that you have the legal right to upload and process all data, including invoices and supplier information.
9. Acceptable Use
You may not use the Service in a way that: • violates applicable law; • infringes the rights of others; • disrupts or attempts to compromise the Service; • involves malicious software or unauthorized access. We may suspend or terminate access if misuse is detected.
10. Availability and Support
The Service is provided as is and as available. We do not guarantee: • uptime, • availability, • performance, or • support response times. Support, if provided, is offered on a voluntary, best-effort basis via email.
11. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access to the Service at any time, with or without notice, including if: • the Service is discontinued, • misuse is suspected, • technical or legal reasons require it. We have no obligation to retain data after suspension or termination and may delete data at our discretion.
12. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied. We disclaim in particular any warranties of: • merchantability, • fitness for a particular purpose, • accuracy, • reliability, • non-infringement.
13. Limitation of Liability
To the maximum extent permitted by Austrian law: We are liable only for intent and gross negligence. We are not liable for indirect damages, loss of profit, loss of data, missed orders, business interruption, or supplier-related issues. Any liability is excluded to the fullest extent permitted for a free beta service. Nothing in these Terms limits liability where exclusion is not permitted by mandatory law (e.g. personal injury).
14. Changes to the Terms
We may update these Terms at any time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law and Jurisdiction
These Terms are governed exclusively by the laws of the Republic of Austria, excluding conflict-of-law rules. Exclusive jurisdiction lies with the competent courts in Vienna, Austria.
